Series 82 Private Securities Offerings Representative exam

Series 82 Exam Prep for Private Placements

The Series 82 licenses you to solicit and sell private placements — securities sold under an exemption rather than through a registered public offering. It turns on the exemptions themselves, who is allowed to buy, how the offering may be marketed, and what happens when an investor wants out of something that has no market. Finance Exam Pro teaches why each exemption exists and what would forfeit it, because that reasoning is what the exam actually tests.

Account Authorizations and Entity Authority

Try it — no account needed

A corporate resolution authorizes "the Corporation's Treasurer" by title, without naming a specific individual, to transact on the private-placement account. Eighteen months later, the original Treasurer has left the company and a new person now holds that title. The new Treasurer presents herself to the representative to continue transacting on the account. What must the representative confirm before accepting her instructions?

Questions

Series 82 exam FAQ

How many questions are on the Series 82?+

The Series 82 has 50 scored questions plus 5 unscored pretest items, and you have 1 hour 30 minutes.

What is a passing score on the Series 82?+

70. Half the exam sits in one function — soliciting business — so that is where your study time belongs.

Do I need a sponsor for the Series 82?+

Yes. The Series 82 requires sponsorship by a FINRA member firm, and the SIE is a corequisite — you must pass both, though they can be taken in either order.

Series 82 or Series 7?+

The Series 7 is far broader and covers public offerings and listed securities. The Series 82 is narrow: it licenses private placements only. If your firm sells private offerings and nothing else, the Series 82 is the shorter path — but it does not let you sell anything the Series 7 covers.
